These Sale and Returns terms and conditions of sale (\"Conditions of Sale\") apply to any order you place through the KENDALL ELECTRICAL SUPPLIES LIMITED website at www.keslighting.co.uk (the \"Website\"). You must read these General Terms and Conditions of Sale carefully. By placing an order through the Website, you confirm that you have read, understood and agree to these General Terms and Conditions of Sale in their entirety. If you do not agree to these General Terms and Conditions of Sale in their entirety, you must not order any product or service through the Website.

Website Terms and Conditions

Whenever you use this Website to order a KES LIGHTING product or service, our Website Terms and Conditions will apply to your use of the Website in addition to these General Terms and Conditions of Sale. By ordering a KENDALL ELECTRICAL SUPPLIES LIMITED product or service through the Website, you shall be deemed also to have read, understood and agreed to our Website Terms and Conditions.

Product and service descriptions

We have taken reasonable precautions to try to ensure that prices quoted on the Website are correct and that all products have been fairly described. However, when ordering products or services through the Website, please note that:
orders will only be accepted if there are no material errors in the description of the goods or services or their prices as advertised on this Website;
all prices are displayed in pounds Sterling inclusive of UK VAT where applicable (save for our International Deliveries, please see the International Delivery section below for further detail) unless expressly indicated otherwise packaging may vary from that shown on the Website;
the weights, dimensions and capacities shown on the Website are approximate only; whilst we try to display the colours of our products accurately on the Website, the actual colours you see will depend on your monitor and we cannot guarantee that your monitor's display of any colour will accurately reflect the colour of the product on delivery all items are subject to availability. We will inform you as soon as possible if the product(s) or service(s) you have ordered are not available and we may offer alternative product(s) or service(s) of equal or higher quality and value.

Acceptance of your order

Please note that completion of the online checkout process does not constitute our acceptance of your order. Our acceptance of your order will take place only when we dispatch the product(s) or commencement of the services that you ordered from us.

If you supplied us with your email address when entering your payment details (or if you have a registered account with us), we will notify you by email as soon as possible to confirm that we have received your order.

All products that you order through the Website will remain the property of KENDALL ELECTRICAL SUPPLIES LIMITED until we have received payment in full from you for those products.

During the checkout process, you will be asked to complete your payment details. All fields indicated as compulsory must be completed. Please note that we will collect and store your information, using an encrypted secure payment mechanism and will only use your information in accordance with our Privacy Policy.

All card payments are subject to authorisation by your card issuer and we take payment when we accept your order shortly before dispatch. If your payment is not received and you have already received the products you ordered from us, you must pay for the products or return those products to us in accordance with reasonable return instructions that we provide to you and in the same condition that you received them at your own expense. If you do not do this within 30 days of the date on which we cancel your order, we may collect or arrange for collection of the products at your expense. We reserve the right to charge you for any and all damage to (or other adverse interference with) any products that are the subject of an unpaid order.

If we cannot supply you with the product or service you ordered, we will not process your order, and inform you of this in writing (including e-mail) and, if you have already paid for the product or service, refund you in full as soon as reasonably possible.

Delivery (including delivery charges and timescales)

Delivery charges and timescales vary depending on the type of products ordered, the service you select and the delivery address.

Delivery will be to the UK or international address. If no one is available at a residential or other address at the time of delivery, a note will be left to advise whether your order has been left in a safe place e.g. with a neighbour, or returned to depot.

All risk in the products you order (including risk of loss and/or damage to the products) shall pass to you when they are delivered to the delivery address specified in your order.

We shall be under no liability for any delay or failure to deliver products if the delay or failure is wholly or partly caused by circumstances beyond our control. We recommend you use a qualified electrician, but do not arrange installation of lighting fittings until you have possession of the fittings.

International Delivery

Due to customs, legal, regulatory and certain practical restrictions applicable to orders placed for international delivery, some of our products may not be available for delivery to certain destinations outside the UK. KENDALL ELECTRICAL SUPPLIES LIMITED reserves the right to define what can and cannot be delivered to which destination.

Payment - Purchases will be made in pounds Sterling. International credit card providers or banks will determine the exchange rate and may add an additional processing or administration charge in relation to such payment which international credit card holders will be liable to pay.

KENDALL ELECTRICAL SUPPLIES LIMITED products are sold on a delivery duty unpaid basis. The recipient may have to pay import duty or a formal customs entry fee prior to or on delivery. Additional taxes, fees or levies may apply according to local legislation and customers are required to check these details before placing an order for international delivery.

Delays

Occasionally, the supply of your product(s) or service(s) may be delayed or prevented for reasons beyond our control – for example, material shortages, import delays or higher than anticipated demand.

Where this is the case, we will, of course, make every effort to keep you informed but shall be under no liability to you for such delay or failure.

What is your returns policy? 

At KES, your satisfaction with our products is our top priority. We understand that sometimes a purchase might not meet your expectations. To support this, we offer a flexible and customer-friendly returns policy.

Return Timeframe
- Customers have 30 days from the point of delivery to inform us of their intent to return the goods and to send the items back for a refund or an exchange.

Responsibility for Return Costs
- Customers will be responsible for the cost of returning the item.

Ordering and Delivery Discrepancies
- Please ensure that you order precisely what you require to avoid any unnecessary expenses.
- If there is a discrepancy between the goods ordered and what you receive, please inform us by email on the day of delivery.

Condition of Returned Products
- Returns are accepted on the condition that the products are returned in perfect condition, including the original packaging with all contents, screws, instructions, etc.
- Fittings that do not meet these conditions will not be eligible for a refund.
- Take care to return your item safely to ensure it reaches us without damage.
- Please avoid writing on the outer box or using brown packaging tape; doing so will incur a reboxing fee of 10% of the item's value, deducted from your refund.

Exclusions
- Our returns policy does not apply to items that are made to order, customised, or special order.
- Sealed or shrink-wrapped goods that have been opened can only be returned if they are defective and this has been agreed upon via email.

Installation of Goods

- Before installing any goods, please check the instructions and parts list to ensure all relevant parts are present and that installation can be done in strict accordance with the manufacturer's instructions.

- We cannot refund products that have been wrongly fitted or be responsible for any consequences of misfitting our products.

- We highly recommend employing qualified and experienced electricians for installing our lighting and carpenters for furniture.

We value your business and are committed to making your shopping experience with us as enjoyable and seamless as possible.

What happens if my order is damaged on arrival? 

In the rare event that your order arrives in a damaged condition please contact us by email at [email protected] within 48 hours of it being delivered to you. We also ask that you email us photos of the damage and the packaging. 

Please note that KES cannot accept claims for damage after an item has already been installed.

Note that if the steps above are not taken, we will not be able to investigate the issue. 

Once KES has received the returned item we will inspect and then a repair or replacement will be arranged where possible.  

Failure to notify us within 48 hours of a damaged product could mean we have to charge for a replacement.  

Faulty on arrival?

Faults are where the product is not fit for its intended purpose (if your item is damaged on delivery, please refer to the damaged section) 

Should your product be found to be faulty please email us at [email protected] with a description of the fault and some photos. Please note that without these details we will not be able to investigate the issue. 

KES will not cover the installation costs of a faulty product.  

How do I return goods? 

Fill out the returns form here and email us at [email protected]. One of our customer service team will assist you with your return.

KES will confirm receipt of the cancellation or return notification, and in the event of a return will issue you with a returns number. We will not accept returns unless we have first been notified and have issued a returns number. This number should be included with your returns on a separate piece of paper, including your order number and name. This should not be written on any part of the original packaging.

KES will not issue refunds for items lost or stolen in transit back to our warehouse. For this reason we advise using a trackable courier service.  

How long do refunds take? 

Refunds will be processed within 14 working days of receipt of the item. KES will notify you by email when this process has been completed. Typically, you will see the funds in your account with 7-10 working days post notification of the refund process being completed.

Liability

There are certain liabilities which we cannot exclude by law and nothing in these General Terms and Conditions limits our liability for personal injury or death caused by our negligence or for fraud.

You have certain rights as a consumer, including legal rights relating to faulty or mis-described goods. For further information about your legal rights in the UK, contact your local authority Trading Standards Department or Citizen’s Advice Bureau. Nothing in these General Terms and Conditions will affect these legal rights and, in particular, we will perform our obligations under these General Terms and Conditions with reasonable care and skill.

Any products we supply to you will be of satisfactory quality. If we deliver a product to you that is not of satisfactory quality, you can contact us for a repair or replacement or, where this is not possible, for a refund.

We are only responsible for losses that are a natural, foreseeable consequence of our breach of these General Terms and Conditions. We will not be liable to you if we are prevented or delayed from complying with our obligations under these General Terms and Conditions by anything you (or anyone acting on your behalf) does or fails to do or due to events which are beyond our reasonable control.

You must follow any advice we give you to keep products we supply to you safe (including any instructions or product manuals provided with the products). We cannot accept liability for damage to products we have supplied which is caused by your failure to follow this advice.

In any event we will not be liable for any losses related to any business of yours including (without limitation) lost data, lost profits, lost revenues or business interruption.

Zero Tolerance Policy

At KES Lighting & Home, we are committed to maintaining a respectful and professional environment for both our team and customers. As such, we uphold a zero-tolerance policy towards any form of aggressive or abusive behaviour directed at our staff. This includes, but is not limited to:

  • Personal, abusive, or threatening comments
  • Use of inappropriate or offensive language
  • Raised voices or shouting
  • Physical contact or aggressive gestures

Our team members are here to assist you, and we kindly ask for your cooperation in ensuring interactions remain courteous. Please note that if any member of our staff experiences verbal abuse during a telephone conversation, they have been instructed to end the call and withhold further assistance.

Pricing

When purchasing an item from us, the price you pay at the time of purchase is final. If the same item is later reduced in price during a sale or promotion, we are unable to refund the difference in price.

Sales and promotions are planned in advance and are offered for a limited time only. Prices at the time of purchase reflect the value of the product at that moment, and we cannot retroactively apply discounts or promotional pricing to previous orders.

Other important terms

We may update or amend these General Terms and Conditions of Sale from time to time to comply with law or to meet our changing business requirements without notice to you. Any updates or amendments will be posted on the Website.

These General Terms and Conditions of Sale supersede any other terms and conditions previously published by us and any other representations or statements made by us to you, whether oral, written or otherwise.

You may not assign or sub-contract any of your rights or obligations under these General Terms and Conditions of Sale to any third party unless we agree in writing.

We may assign, transfer or sub-contract any of our rights or obligations under these General Terms and Conditions of Sale to any third party at our discretion.

No relaxation or delay by us in exercising any right or remedy under these General Terms and Conditions of Sale shall operate as waiver of that right or remedy or shall affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by us in writing.

If any of these General Terms and Conditions of Sale are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of these General Terms and Conditions of Sale shall remain in full force and effect.

Only you and we shall be entitled to enforce these Terms of Sale. No third party shall be entitled to enforce any of these Terms of Sale, whether by virtue of the Contracts (Rights of Third Parties) Act 1999 or otherwise.

These General Terms and Conditions of Sale are governed by English law. In the event of any matter or dispute arising out of or in connection with these General Terms and Conditions of Sale, you and we shall submit to the exclusive jurisdiction of the English courts.

Business T&C's

  • These Terms and Conditions will apply to the purchase of the goods detailed in our quotation (Goods) by the buyer (you) from Kendall Electrical Supplies Ltd a company registered in England and Wales under number 1889581 whose registered office is at 191, Newtown Road, Bedworth, Warwickshire, CV12 8QG (we or us).
  • These Terms and Conditions will be deemed to have been accepted by you when you accept them or the quotation or from the date of any delivery of the Goods (whichever happens earlier) and will constitute the entire agreement between us and you.
  • These Terms and Conditions and the quotation (together, the Contract) apply to the purchase and sale of any Goods between us and you, to the exclusion of any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

Interpretation

  • A "business day" means any day other than a Saturday, Sunday or bank holiday in England and Wales.
  • The headings in these Terms and Conditions are for convenience only and will not affect their interpretation.
  • Words imparting the singular number include the plural and vice-versa.

Goods

  • The description of the Goods is set out in our sales documentation, unless expressly changed in our quotation. In accepting the quotation you acknowledge that you have not relied upon any statement, promise or other representations about the Goods by us. Descriptions of the Goods set out in our sales documentation are intended as a guide only.
  • We can make any changes to the specification of the Goods which are required to conform to any applicable safety or other statutory or regulatory requirements.

Price

  • The price (Price) of the Goods is set out in our quotation current at the date of your order or such other price as we may agree in writing.
  • If the cost of the Goods to us increases due to any factor beyond our control including, but not limited to, material costs, labour costs, alteration of exchange rates or duties, or changes to delivery rates, we can increase the Price prior to delivery.
  • Any increase in the Price under the clause above will only take place after we have told you about it.
  • You may be entitled to discounts. Any and all discounts will be at our discretion.
  • The Price is inclusive of fees for packaging and transportation / delivery.
  • The Price is inclusive of any applicable VAT and other taxes or levies which are imposed or charged by any competent authority.

Cancellation and alteration

  • Details of the Goods as described in the clause above (Goods) and set out in our sales documentation are subject to alteration without notice and are not a contractual offer to sell the Goods which is capable of acceptance.
  • The quotation (including any non-standard price negotiated in accordance with the clause on Price (above) is valid for a period of 30 days only from the date shown in it unless expressly withdrawn by us at an earlier time.
  • Either of us can cancel the order for any reason prior to your acceptance (or rejection) of the quotation.

Payment

  • You must pay the Price at the time the order is placed with us. We do not provide credit under any circumstances.
  • Time for payment will be of the essence of the Contract between us and you.
  • All payments must be made in British Pounds unless otherwise agreed in writing between us.
  • Both parties must pay all amounts due under these Terms and Conditions in full without any deduction or withholding except as required by law and neither party is entitled to assert any credit, set-off or counterclaim against the other in order to justify withholding payment of any such amount in whole or in part.

Delivery

  • We will arrange for the delivery of the Goods to the address specified in the quotation, or your order or to another location we agree in writing.
  • If you do not specify a delivery address or if we both agree, you must collect the Goods from our premises.
  • Subject to the specific terms of any special delivery service, delivery can take place at any time of the day and must be accepted at any time between 8 am to 8 pm.
  • If you do not take delivery of the Goods we may, at our discretion and without prejudice to any other rights:
    • store or arrange for the storage of the Goods and will charge you for all associated costs and expenses including, but not limited to, transportation, storage and insurance; and / or
    • make arrangements for the redelivery of the Goods and will charge you for the costs of such redelivery; and/or
    • after 10 business days, resell or otherwise dispose of part or all of the Goods and charge you for any shortfall below the price of the Goods.
  • If redelivery is not possible as set out above, you must collect the Goods from our premises and will be notified of this. We can charge you for all associated costs including, but not limited to, storage and insurance.
  • Any dates quoted for delivery are approximate only, and the time of delivery is not of the essence. We will not be liable for any delay in delivery of the Goods that is caused by a circumstance beyond our control or your failure to provide us with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.
  • We can deliver the Goods by installments, which will be invoiced and paid for separately. Each installment is a separate contract. Any delay in delivery or defect in an installment will not entitle you to cancel any other installment.

Inspection and acceptance of Goods

  • You must inspect the Goods on delivery or collection.
  • If you identify any damages or shortages, you must inform us in writing within 2 days of delivery, providing details.
  • Other than by agreement, we will only accept returned Goods if we are satisfied that those Goods are defective and if required, have carried out an inspection.
  • Subject to your compliance with this clause and/or our agreement, you may return the Goods and we will, as appropriate, repair, or replace, or refund the Goods or part of them.
  • We will be under no liability or further obligation in relation to the Goods if:
    • if you fail to provide notice as set above; and/or
    • you make any further use of such Goods after giving notice under the clause above relating to damages and shortages; and/or
    • the defect arises because you did not follow our oral or written instructions about the storage, commissioning, installation, use and maintenance of the Goods; and/or
    • the defect arises from normal wear and tear of the Goods; and/or
    • the defect arises from misuse or alteration of the Goods, negligence, wilful damage or any other act by you, your employees or agents or any third parties.
  • You bear the risk and cost of returning the Goods.
  • Acceptance of the Goods will be deemed to be upon inspection of them by you and in any event within 1 day after delivery.
  • In general we do not accept the return of unwanted Goods, however where this has been agreed, it will be on condition of a credit note valid for 12 months. We do not issue refunds on unwanted Goods.

Risk and title

  • The risk in the Goods will pass to you on completion of delivery.
  • Title to the Goods will not pass to you until we have received payment in full (in cash or cleared funds) for: (a) the Goods and/or (b) any other goods or services that we have supplied to you in respect of which payment has become due.
  • Until title to the Goods has passed to you, you must (a) hold the Goods on a fiduciary basis as our bailee; and/or (b) store the goods separately and not remove, deface or obscure any identifying mark or packaging on or relating to the Goods; and/or (c) keep the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery.
  • As long as the Goods have not been resold, or irreversibly incorporated into another product, and without limiting any other right or remedy we may have, we can at any time ask you to deliver up the Goods and, if you fail to do so promptly, enter any of your premises or of any third party where the Goods are stored in order to recover them.

Termination

  • We can terminate the sale of Goods under the Contract where:
    • you commit a material breach of your obligations under these Terms and Conditions;
    • you are or become or, in our reasonable opinion, are about to become the subject of a bankruptcy order or take advantage of any other statutory provision for the relief of insolvent debtors;
    • you enter into a voluntary arrangement under Part 1 of the Insolvency Act 1986, or any other scheme or arrangement is made with your creditors; or
    • you convene any meeting of your creditors, enter into voluntary or compulsory liquidation, have a receiver, manager, administrator or administrative receiver appointed in respect of your assets or undertakings or any part thereof, any documents are filed with the court for the appointment of an administrator, notice of intention to appoint an administrator is given by you or any of your directors or by a qualifying floating charge holder (as defined in para. 14 of Schedule B1 of the Insolvency Act 1986), a resolution is passed or petition presented to any court for the winding up of your affairs or for the granting of an administration order, or any proceedings are commenced relating to your insolvency or possible insolvency.

Limitation of liability

  • Our liability under the Contract, and in breach of statutory duty, and in tort, misrepresentation or otherwise will be limited to this clause.
  • Subject to the clauses above on Inspection and Acceptance and Risk and Title, all warranties, conditions or other terms implied by statute or common law (save for those implied by Section 12 of the Sale of Goods Act 1979) are excluded to the fullest extent permitted by law.
  • If we do not deliver the Goods, our liability is limited, subject to the clause below, to the costs and expenses incurred by you in obtaining replacement goods of similar description and quality in the cheapest market available, less the price of the Goods.
  • Our total liability will not, in any circumstances, exceed the total amount of the Price payable by you.
  • We will not be liable (whether caused by our employees, agents or otherwise) in connection with the Goods, for:
    • any indirect, special or consequential loss, damage, costs, or expenses; and/or
    • any loss of profits; loss of anticipated profits; loss of business; loss of data; loss of reputation or goodwill; business interruption; or, other third party claims; and/or
    • any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; and/or
    • any losses caused directly or indirectly by any failure or breach by you in relation to your obligations; and/or
    • any loss relating to the choice of the Goods and how they will meet your purpose or the use by you of the Goods supplied.
  • The exclusions of liability contained within this clause will not exclude or limit our liability for death or personal injury caused by our negligence; or for any matter for which it would be illegal for us to exclude or limit our liability; and for fraud or fraudulent misrepresentation.

Communications

  • All notices under these Terms and Conditions must be in writing and signed by, or on behalf of, the party giving notice (or a duly authorised officer of that party).
  • Notices will be deemed to have been duly given:
    • when delivered, if delivered by courier or other messenger (including registered mail) during the normal business hours of the recipient;
    • when sent, if transmitted by fax or email and a successful transmission report or return receipt is generated;
    • on the fifth business day following mailing, if mailed by national ordinary mail; or
    • on the tenth business day following mailing, if mailed by airmail.
  • All notices under these Terms and Conditions must be addressed to the most recent address, email address or fax number notified to the other party.

Data protection

  • When providing the Goods to the Buyer, the Seller may gain access to and/or acquire the ability to transfer, store or process personal data of employees of the Buyer.
  • The parties agree that where such processing of personal data takes place, the Buyer shall be 'data controller' and the Seller shall be the 'data processor' as defined in the General Data Protection Regulation (GDPR) as may be amended, extended and/or re-enacted from time to time.
  • For the avoidance of doubt, 'Personal Data', 'Processing', 'Data Controller', 'Data Processor' and 'Data Subject' shall have the same meaning as in the GDPR.
  • The Seller shall only Process Personal Data to the extent reasonably required to enable it to provide the Goods as mentioned in these terms and conditions or as requested by and agreed with the Buyer, shall not retain any Personal Data longer than necessary for the Processing and refrain from Processing any Personal Data for its own or for any third party's purposes.
  • The Seller shall not disclose Personal Data to any third parties other than employees, directors, agents, subcontractors or advisors on a strict "need-to-know" basis and only under the same (or more extensive) conditions as set out in these terms and conditions or to the extent required by applicable legislation and/or regulations.
  • The Seller shall implement and maintain technical and organisational security measures as are required to protect Personal Data Processed by the Seller on behalf of the Buyer. Circumstances beyond the control of either party

  • Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question.

No Waiver

  • No waiver by us of any breach of these Terms and Conditions by you shall be considered as a waiver of any subsequent breach of the same or any other provision.

Severance

  • If one or more of these Terms and Conditions is found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Terms and Conditions (which will remain valid and enforceable).

Law and jurisdiction

  • This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
